Please read this "RecoverlyX User Agreement" (this "Agreement") carefully and ensure you fully understand your rights and obligations. Unless and until you accept this Agreement, you are not authorized to access, register, log in to, or use the RecoverlyX product (the "Product") or any related services. By accessing, browsing, registering, logging in to, or otherwise using the Product, you are deemed to have accepted this Agreement and agree to be bound by its terms. If you do not agree to any part of this Agreement, please do not use the Product. If you are a minor or otherwise lack full legal capacity, you must review and decide on this Agreement under the supervision of your legal guardian. This Agreement is a legal agreement between you and United Guard Co. Limited and its affiliates (collectively, "UG") governing your access to and use of the Product.

1. Services and License Scope

1. 1.1 The Product's primary function is data recovery. Certain features may be enabled or disabled by default and may be configured within the Product. When you use the Product, it will scan files or data stored on your local computer drives and connected external storage devices (as supported by the Product). All scanning is performed locally on your device. No data will be uploaded to or stored in the cloud.
2. 1.2 UG may continuously improve and update its services. Due to operational or business adjustments, available features may vary by region and shall be subject to the actual services provided by UG.
3. 1.3 You may access, register, log in to, and use the Product for non-commercial purposes as permitted. UG grants you a personal, non-transferable, non-exclusive license to use the Product in accordance with this Agreement and applicable rules.
4. 1.4 You should obtain the Product from UG's official website or authorized distribution channels. If obtained from unauthorized sources, UG does not guarantee proper functionality and shall not be liable for any resulting losses.
5. 1.5 You acknowledge that UG only provides the services described in this Agreement. You are responsible for obtaining and maintaining the necessary equipment (e.g., computer, mobile device) and for any related costs (e.g., internet or data charges).

2. Account Registration and Use

1. 2.1 You may be required to register an account to use the Product and must comply with applicable registration requirements.
2. 2.2 Certain features (including scanning, preview, and recovery) may require registration and login.
3. 2.3 The Product may support third-party login. With your consent, UG may access relevant information from the third-party account.
4. 2.4 You must provide accurate, complete, lawful, and valid registration information.
5. 2.5 You are responsible for the accuracy and legality of your information. Any consequences arising from false or misleading information shall be borne by you.
6. 2.6 Your account name, profile picture, and personal information must not contain unlawful, infringing, or inappropriate content.
7. 2.7 UG may review your registration information and determine whether to approve account creation.
8. 2.8 Where necessary, you authorize UG to verify your identity through relevant authorities or service providers.
9. 2.9 You are responsible for all activities conducted under your account and must safeguard your credentials.
10. 2.10 You may not transfer, rent, sell, or otherwise share your account.
11. 2.11 You may not register multiple accounts for abusive purposes or use another person's account.
12. 2.12 You must promptly notify UG if you suspect unauthorized use of your account.
13. 2.13 Account deletion does not relieve you of any prior obligations or liabilities. All account data will be permanently deleted and cannot be recovered.
14. 2.14 Account ownership remains with UG. You are granted only a right to use the account.
15. 2.15 UG reserves the right to suspend or terminate accounts that violate this Agreement.

3. Usage Guidelines

1. 3.1 UG may send service-related notifications, including emails, SMS, push notifications, and promotional messages.
2. 3.2 Certain services may be subject to additional terms or agreements.
3. 3.3 Minors must use the Product under the supervision of a legal guardian.
4. 3.4 Third-party links or services are not controlled by UG.
5. 3.5–3.7 Advertisements or third-party services may be displayed within the Product. UG assumes no responsibility for such third-party content or services.
6. 3.8 When using third-party services, you must comply with their respective terms and conditions.
7. 3.9–3.13 You must comply with applicable laws and regulations and shall not engage in any unlawful, harmful, or disruptive activities, including but not limited to:
   • Endangering national security
   • Disseminating illegal or harmful content
   • Infringing intellectual property or privacy rights
   • Hacking, distributing malware, or disrupting networks
8. 3.14–3.17 You may not misuse Product content, reverse engineer, decompile, or otherwise infringe UG's intellectual property rights.
9. 3.18 UG may update or modify the Product, and older versions may become unavailable or unsupported.
10. 3.19 Unauthorized versions of the Product may pose security risks. UG shall not be liable for any resulting issues.
11. 3.20–3.21 Usage statistics and error logs may be collected for service improvement purposes. Such data does not include personally identifiable information.
12. 3.22–3.23 You may stop using the Product at any time. You are encouraged to report any violations or infringements.

4. Privacy Protection

1. 4.1 We may collect necessary information to provide services. Data recovery operations are performed locally on your device and are not uploaded to the cloud. Personal information will not be disclosed unless required by law or necessary to provide services.
2. 4.2 For more details, please refer to the separate Privacy Policy.
3. 4.3 All scanning and recovery operations are performed locally and are not stored or uploaded to external servers.

5. Intellectual Property

1. 5.1 All intellectual property rights in the Product are owned by UG.
2. 5.2 Content not provided by you is protected under applicable laws.
3. 5.3 You are prohibited from reverse engineering, decompiling, or disassembling the Product.
4. 5.4–5.8 You may not modify, exploit, or use the Product for commercial purposes without authorization.

6. Disclaimer and Limitation of Liability

1. 6.1 You assume all risks associated with your use of the Product.
2. 6.2 The Product is provided "as is." UG shall not be liable for interruptions or data loss caused by factors beyond its reasonable control.
3. 6.3–6.5 UG does not guarantee the accuracy, reliability, or completeness of services or third-party links.
4. 6.6–6.7 Compatibility with all devices or third-party services is not guaranteed.
5. 6.8–6.9 UG is not liable for force majeure events or technical failures.
6. 6.10 You are responsible for backing up your data. UG is not responsible for any data loss.
7. 6.11–6.12 UG may modify or discontinue services at any time and does not guarantee recovery results.

7. Breach and Compensation

1. 7.1 UG may suspend or terminate services if you violate this Agreement.
2. 7.2 UG shall not be liable for indirect, incidental, or consequential damages.
3. 7.3 UG may take appropriate actions against users who infringe the rights of others, including suspension, removal of content, or legal action.

8. Governing Law and Dispute Resolution

1. 8.1 Governing Law
   This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
2. 8.2 Dispute Resolution
   Any dispute arising out of or in connection with this Agreement shall first be resolved through amicable negotiation. If such dispute cannot be resolved, either party may submit the dispute to the courts of the Hong Kong Special Administrative Region, which shall have exclusive jurisdiction.

9. Notices

1. 9.1 Notices may be delivered via announcements, email, SMS, or postal mail.
2. 9.2–9.4 Legal notices may be served electronically or by postal delivery to your registered contact information.

10. Miscellaneous

1. 10.1 If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
2. 10.2 UG may update this Agreement from time to time. Continued use of the Product constitutes acceptance of the updated terms.
3. 10.3 This Agreement incorporates other relevant policies and terms issued by UG.
4. 10.4 UG reserves the right of final interpretation and amendment of this Agreement to the extent permitted by law.
